Antitrust Violations

In June 2011, the Sverdlovsk OFAS Russia recognized Rostelecom as violating antitrust laws and fined 631,000 rubles. The reason for initiating the case was numerous applications from citizens who, without their will, were replaced by their chosen operator of long-distance and international communications OJSC MTT with another - Rostelecom, as well as a statement by the Ural branch of MTT about violation of antimonopoly law. During the investigation, it was found that the operator Uralsvyazinform, whose successor is Rostelecom, switched tens of thousands of MTT subscribers to its long-distance communication services without warning.

In July 2011, the Khanty-Mansiysk OFAS Russia found Rostelecom, represented by the Ural macro-regional branch, guilty of setting and maintaining monopoly high prices for Internet access for individuals. The case was initiated on the basis of applications from the company's subscribers who complained about the high cost of tariffs and the low quality of services provided. Earlier, the governor of the Khanty-Mansiysk Autonomous Okrug Natalya Komarova, who also received numerous complaints about the prices and quality of Rostelecom's services, criticized the company.

In January 2012, the Rostov OFAS Russia fined Rostelecom in the amount of 1.3 million rubles. for repeated abuse of dominant position: the operator provided broadband Internet access services for residents of large cities and countryside at different prices. The company carried out a marketing campaign only in some large cities of the Rostov region (subscribers of most of the region's municipal districts could not join the campaign). The company also introduced a new tariff plan, the conditions of which differed significantly for each group of settlements in the Rostov region and put Rostelecom subscribers in an unequal position (for example, the minimum package in Rostov-on-Don was cheaper than in rural areas of the region, while in Rostov-on-Don the speed was much higher).

Mikhail Oseevsky, Deputy Chairman of the Management Board of VTB, will become the President of PJSC Rostelecom, the largest state-owned telecommunications operator, replacing Sergey Kalugin. Today, at a meeting with Mr. Oseevsky, Prime Minister Dmitry Medvedev expressed hope that the company "will really develop" and "correspond to modern trends."

On Wednesday, March 1, Prime Minister Dmitry Medvedev met with VTB Deputy Chairman Mikhail Oseevsky. “The government has signed a directive on your appointment as president of Rostelecom. I will now instruct that a board of directors be assembled on the basis of this directive and that it make all the necessary decisions,” said Mr. Medvedev (citation from the government website). Mr. Oseevsky noted that over the past few years, Rostelecom has “very seriously changed” the structure of its business, moving towards the provision of digital services. The scope of these services needs to be expanded, he believes. “I think that there are serious resources for increasing internal efficiency and reducing costs,” Mikhail Oseevsky said. Dmitry Medvedev expressed hope that "the company will really develop" and the number of services will change - "according to how this market in the world is changing in general." "I hope that our state company will comply with all modern trends,” the Prime Minister said.

Mikhail Oseevsky in 2003-2011 worked in the government of St. Petersburg and headed the administration of the local governor. In 2011-2012, he worked as deputy head of the Ministry of Economy, in 2012 he moved to VTB.

Last week, a government directive was signed on the resignation of the president of Rostelecom, Sergei Kalugin. According to Kommersant's sources, he received an offer to transfer to the civil service and may take the post of deputy head of the Ministry of Telecom and Mass Communications. Deputy Prime Minister Arkady Dvorkovich confirmed that Mr. Kalugin will leave his post and, most likely, will become Deputy Minister of Telecom and Mass Communications. According to Mr. Dvorkovich, such a change in leadership will primarily strengthen the Ministry of Communications. The head of the ministry, Nikolai Nikiforov, also said that he had offered Mr. Kalugin the position of his deputy.

Sergey Kalugin was appointed President of Rostelecom in March 2013, and in 2015 his contract was extended until 2018. Under Sergey Kalugin, a deal was made to create the federal mobile operator Tele2. This company belongs to Rostelecom, VTB and a consortium of investors with the participation of Yury Kovalchuk's Rossiya Bank. A Kommersant source previously said that Mr. Oseevsky was never a member of the team of the main shareholder of Rossiya Bank and did not have common business projects with him. But, according to the interlocutor of Kommersant, the arrival of Mikhail Oseevsky in Rostelecom will not be able to violate the plans of the Rossiya Bank structures in this market.

While working at Rostelecom, Mr. Kalugin relied on pay-TV and fixed-line internet, Raiffeisenbank analyst Sergei Libin believes. “If Oseevsky, a native of VTB, comes in, the integration of Rostelecom and Tele2 is more likely. The focus may shift towards greater convergence with mobile communications,” believes Mr. Libin.

Today, Rostelecom announced the change of the head of a subsidiary developing its own retail network - LLC Rostelecom - Retail Systems (RRS). According to Rostelecom, Arvydas Alutis has been appointed CEO of RRS. He replaced Margarita Kucherenko, who has been in charge of RRS since 2014, in this position. The change of the head of the RRS has not yet been registered in the Unified State Register of Legal Entities.

Prior to joining Rostelecom, Arvydas Alutis worked at MTS. From 2014 to 2016, he headed the MTS retail network - Russian Telephone Company CJSC, "making it the main channel for attracting mobile operator subscribers," follows from the message of Rostelecom. During his work, the size of the operator retailer has increased by about 20%, Interfax points out. MTS does not comment on the results of Mr. Alutis' activities. Before him, according to Rostelecom, “the task is to increase customer focus and work efficiency retail network Rostelecom, which consists of more than a thousand service centers.

The number of subscribers and Internet users continues to increase today, so the question remains relevant: "Which operator to choose?" One of the players in the telecommunications market and a major employer is OJSC Rostelecom. What is this provider? What are the opinions of employees about Rostelecom?

About company

The market of telecommunication services in our country is steadily developing. OJSC Rostelecom has been an interregional operator since 2006 and operates in several Russian regions. It occupies far from the last positions, but it is not included in the "big three" operators. What services does the company provide?

  • Local and long-distance telephony.
  • Interactive TV.
  • Cellular.

Company activities

Rostelecom performs various activities related to the creation and development of e-government, ensures the functioning of elections, etc. It is the leader in the market of telecommunications services provided by Russian government bodies and corporate users. It occupies a leading position in the provision of pay-TV services (more than 8 million users). The company has the largest backbone network in the Russian Federation, with a total length of 500,000 km. According to international credit ratings the company has a stable financial position. Revenue for the 1st quarter of 2015 amounted to more than 70 billion rubles, net profit - more than two billion rubles.

Rostelecom as an employer

The company is a major employer, providing official employment, a full social package, stable workplace, white wages without delay. Often noted on the positive side of the team in which they work. Feedback from Rostelecom employees makes us pay attention to the company's commercial approach to solving many issues. For example, installation is carried out even with poor line parameters. The priority is to capture the market, fulfill and overfulfill the plan, and not personnel. Recruited in the staff mainly and sellers, and other specialists are reduced. Work in Rostelecom, the reviews of employees about which you need to study before passing the interview, varies depending on the department and region.

Positive staff feedback about the company

Employees note that the company has changed for the better lately, a positive development trend is outlined. The few positive reviews of Rostelecom employees reflect the following advantages of the employer:

  • work is stable, simple and understandable, competently organized;
  • possibility career development in a prestigious company;
  • acceptable working conditions;
  • close-knit team and high;
  • increase in salaries and funding after the change of leadership in a number of regions.

Negative feedback from employees about Rostelecom

According to employees, the old qualified specialists of the company have been reduced to 90%. Large layoffs have meant that new and remaining employees are forced to take on a number of responsibilities of those who have been made redundant, with wages the same level. Employees of Rostelecom reacted negatively to the policy pursued by management in relation to personnel. Many reviews point out the same shortcomings of this employer.

  • Management incompetence.
  • Unfavorable socio-psychological climate.
  • Bureaucracy and red tape. Software works very poorly, before you do something, you need to coordinate your actions with many people. Contracts are concluded for a long time, about a month.
  • High staff turnover. There is no competent personnel policy. They do not retain, do not appreciate good specialists.
  • Small worthy only for top managers.
  • Traditional modes of communication are broken. Obsolete equipment, cables, gaskets, etc. Overhaul are not planning. The company is not able to provide high-quality communication even for its employees.
  • Fitters buy equipment and pay for gasoline at their own expense.
  • They misinform applicants at interviews and clients.

Work at Rostelecom, the feedback from employees about which should make the management think about the problems of the company, is characterized by a high workload and low motivation of the staff. Many were not satisfied with the 35% bonus, which depends on the loyalty of the senior management, large fines up to 95%. At the head office of the company, the appeals and complaints of employees do not comment in any way.

Customer reviews about the provider "Rostelecom"

A huge number of reviews have been written about Rostelecom, among them there are both positive and negative ones. Among the advantages of the services provided by the provider, customers distinguish:

  • favorable conditions and prices according to tariffs;
  • stable wi-fi;
  • in terms of television, they note the archive and a clear image.

In general, negative feedback from Rostelecom employees and consumers prevails. The predominance of negative opinions about this provider can be partly explained by the fact that, having not found understanding in the company's support service, a frustrated client is more willing to express his dissatisfaction. Consumers of Rostelecom services note a number of shortcomings.

  • line quality, Maintenance and services at a low level.
  • Service missing. Irresponsible attitude towards customers.
  • Poor quality support and technicians.
  • They don't deal with customer complaints.

Why are Rostelecom's customers dissatisfied?

Many customers note a very low Internet speed, often not at all corresponding to the one stated in the tariffs, constant departures, interruptions and disconnections of the Internet. The provider "Rostelecom", reviews of which are mostly negative, according to many consumers, misinforms customers. Receipts for payment are sent late, and then a penalty is charged. Often there are technical problems with the processing of consumer payments.

"Rostelecom Contact Center", reviews of employees and customers about which are very contradictory, also causes a lot of criticism. Consumers say that it is very difficult to get through to technical support, support service workers do not delve into the problem and try to quickly end the conversation, do not answer questions, use the same memorized phrases during negotiations, in addition, they pick up the handset at the workplace so that customers do not annoy with calls.

Clients of the Moscow region left negative feedback about Rostelecom, as the company did not conclude agreements with payment systems and terminals, which led to consumers incurring additional costs and experiencing inconvenience when paying for communication services. Unlike other telecom operators, Rostelecom does not activate home telephony services immediately after the payment is made, but only after three days.

Conclusion

Big number negative reviews about Rostelecom are a wake-up call. Feedback from Rostelecom employees also reflects fears that the company is falling apart. It is extremely important for the company to take into account the opinions of ordinary employees, as they are the foundation of the organization.

The Russian telecommunications market is developing. In the future, the absorption of regional operators and small providers by larger corporations will continue. Companies not responding modern requirements that cannot compete will either rebuild or disappear from the market.

MOSCOW, March 27 - Prime. The resignation of the president of the country's largest telecom operator, Rostelecom, with an annual turnover of almost 300 billion rubles, Alexander Provotorov, discussed since September last year, was approved by the company's board of directors. He was succeeded by the co-founder and former head of the broadband and pay TV operator National Cable Networks (NKS, a subsidiary of Rostelecom) Sergey Kalugin.

Both Provotorov and Kalugin are on the list of candidates for new advice directors of the company, who will be elected on annual meeting shareholders in June.

Provotorov, who headed Rostelecom for more than 2.5 years, is a member of the team of the former head of the Ministry of Telecom and Mass Communications, and now an assistant to the President of the Russian Federation, Igor Shchegolev. Provotorov headed Rostelecom in July 2010, in the summer of 2012 his contract was extended until July 2015.

Prior to joining Rostelecom, Provotorov was the first deputy general director of Svyazinvest (owns 45.29% of the operator's shares), where he developed a model for reorganizing companies. Having headed the operator, more than 55% of whose shares are collectively controlled by the state, Provotorov completed the first stage of the reform, under which in the spring of 2011 eight subsidiaries of Svyazinvest were merged with Rostelecom, which as a result turned from a long-distance operator into a multiservice company . The second stage of the reform, involving the accession of the state holding itself to Rostelecom with its subsequent liquidation, is planned to be completed in October 2013.

Under Provotorov, the company's strategy was adopted, which envisages development not only in its traditional fixed-line segment, but also strengthening its position in such promising sectors as mobile connection, pay TV, broadband internet, cloud technologies.

Under his leadership, the company has implemented many large-scale projects, including an unprecedented project in terms of timing and scope of work to organize video surveillance of the presidential elections in the Russian Federation in March 2012. Rostelecom created the Russian e-government infrastructure and put into operation a single portal of public services, created a system of interdepartmental electronic interaction (a key component of e-government), developed and launched the O7 National Cloud Platform in 2012.

In addition, Rostelecom became the leader Russian market pay TV and the fifth largest mobile operator in terms of the number of subscribers. During the time that Provotorov was in charge of Rostelecom, the company showed revenue growth: in 2010 it amounted to 275.7 billion rubles (according to IFRS), in 2011 - 296 billion rubles, in the first 9 months of 2012 - 238.7 billion rubles.

History of confrontation

After the change of leadership of the Ministry of Telecom and Mass Communications, which was headed by Nikolai Nikiforov in 2012, Provotorov's resignation became a matter of time, sources in the telecommunications market said. Nikiforov, as well as Deputy Prime Minister of the Russian Federation Arkady Dvorkovich, who oversees the telecom industry, have repeatedly criticized the management of Rostelecom for an inefficient strategy and investment program, as well as a drop in share prices below the market.

However, according to sources, the real reason lay in the ministry's desire to neutralize the influence on the management of the state-owned company from the Marshall Capital investment fund founded by businessman Konstantin Malofeev, where Provotorov worked before joining Svyazinvest. Until recently, Malofeev was the largest minority shareholder in Rostelecom (in February he sold his 10.7% stake to the structure of Arkady Rotenberg), he was also called one of the ideologists of the reform of the Svyazinvest group and a friend of Shchegolev.

Shortly after Shchegolev became the head of the Ministry of Telecom and Mass Communications in 2008, and Malofeev became a shareholder of Rostelecom, MapCap representatives began to occupy senior positions in the companies of the Svyazinvest holding. Until now, Rostelecom's board of directors is largely made up of people associated with MarCap.

In September 2012, the Ministry of Telecom and Mass Communications prepared a draft directive providing for the resignation of Provotorov and the appointment of Vadim Semyonov, the current general director of Svyazinvest, as the head of the state operator. However, this initiative was blocked by the administration of the President of the Russian Federation, where Shchegolev works. In November 2012, the houses of Provotorov and Malofeev were searched as part of the Nutritek investigation into the theft of a $225 million loan from VTB. However, Malofeev called these searches pressure to replace the leadership of Rostelecom.

In February, the Ministry of Telecom and Mass Communications repeated its attempt to change the leadership of Rostelecom, proposing a new candidate, Sergei Kalugin. Provotorov himself wanted to leave the post of president of the state operator - he was burdened by the atmosphere around the company, said a source close to him. As a result, the Kremlin did not object to the appointment of Kalugin, as he is a "neutral candidate."

Provotorov left Rostelecom with an impressive reward: he will be paid annual bonus in the amount of 29 million rubles and a "golden parachute" for 200 million rubles for early departure from the company. He intends to send a significant part of these funds to charity, Provotorov told Prime.

Neutral candidate

Sergey Kalugin was born in 1966, in 1991 he graduated from the Faculty of Economics of Moscow State University. He worked as an economist, managing director for investments in Inkombank, president of IFC Inkom Capital. Since 2000 - General Director of RTR-Signal OJSC.

Kalugin is one of the founders of OAO NKS, established in 2001, of which he was the general director in 2001-2007. In 2005, the company was acquired by Suleiman Kerimov's Nafta group, merging it with its subsidiary Mostelecom into the National Telecommunications (NTK) holding. In 2008 NTK was sold to a group of investors headed by Yuri Kavalchuk's National Media Group (NMG). In 2011-2012, 100% of NTK was bought out by Rostelecom, in April 2012 Kalugin left the company.

Industry analysts find it difficult to comment on the appointment of Kalugin - he is little known to the market. However, they doubt that his arrival will radically change the strategic directions of the operator's development: the company still needs to reduce dependence on traditional services and increase the share of businesses with long-term growth prospects. First of all, we are talking about cellular communications and broadband access - both fixed and mobile, analysts are sure, simplified by the Prime agency.

Minority shareholders were optimistic about the news of Kalugin's appointment as president of Rostelecom. "We have no reason to be negative about the appointment of Sergei Kalugin as president of Rostelecom. As a public manager, we do not know him, but we hope that with his arrival the dialogue with minority shareholders, interrupted under Provotorov, will resume, and the company will become more transparent. This should favorably affect the capitalization of Rostelecom, which, in our opinion, is undervalued today," he told Prime. Executive Director Association for the Protection of Investors' Rights (IPA, represents the interests of minority shareholders) Denis Kulikov.

"Kalugin is one of the founders of NKS, the most promising operator of broadband access and pay TV in Moscow, the purchase of which by Rostelecom was once supported by API. If he extends the experience gained in NKS to Rostelecom, this will have a positive effect on the operator," Kulikov added.

Vice President and Director of Rostelecom's Moskva macro-regional branch, Dmitry Bragin, who served as deputy general director of NKS under Kalugin's leadership, says that he has developed an exceptionally positive attitude towards the newly appointed head of the state operator. "Kalugin is a knowledgeable, competent person who has achieved a lot. He can handle any task," Bragin said.

The head of the Association of Regional Telecommunications Operators (AROS) Yuri Dombrovsky called the appointment of Kalugin " good choice for Rostelecom. “It seems to me that this is a person of the right specialization, since part of the strategy of Rostelecom is the development of the broadband access business, and Kalugin just came from this area - he created an excellent company operating in the Moscow market,” Dombrovsky said.
